Acquisition Criteria

We have very simple criteria for the types of firms we look to purchase:

  • Greater than $1.5 million EBITDA
  • Substantial share of revenue is recurring or has the potential to be 
  • Healthy mix of sales to other businesses or government
  • Identifiable pathway to continued growth
  • Gross profit margin greater than 25%  
  • History of ethical business operations
  • Stable, non-cyclical performer 

Approach

Letter of Intent

After an introductory conversation, where we gather basic details about the business, we are able to provide sellers with a Letter of Intent. This process takes 5 to 7 days

Offer

If the seller is satisfied with the Letter of Intent, we sign confidentiality agreements so that Griot can begin receiving company information. Griot also meets with the seller to discuss the firm. Finally, Griot processes this information to present the seller with an offer within 10 days

Transaction Closure

If the seller accepts the offer, Griot performs formal due diligence concluded by meetings with key employees, customers and other critical stakeholders. Subsequently, Griot and the seller finalizes transaction documents and complete the transaction. This process can be completed within 30 days
